<h2>4. User-Generated Content and Reviews</h2>
<h3>4.1 Posting Reviews</h3>
<p>Transperis allows users to post reviews, ratings, comments, and other content (“User Content”). By submitting User Content, you represent and warrant that:</p>
<ul>
<li>You are the original author of the content and have all necessary rights to submit it;</li>
<li>Your content is based on genuine, first-hand experiences with the business being reviewed;</li>
<li>Your content is accurate, truthful, and not misleading;</li>
<li>Your content does not infringe upon the intellectual property, privacy, or other rights of any third party;</li>
<li>Your content does not contain defamatory, libelous, obscene, abusive, threatening, or otherwise objectionable material;</li>
<li>You have no financial interest in or affiliation with the business being reviewed, unless clearly disclosed.</li>
</ul>
<h3>4.2 Content License</h3>
<p>By submitting User Content to Transperis, you grant us a non-exclusive, worldwide, royalty-free, perpetual, irrevocable, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, distribute, display, and create derivative works from your User Content in any media format and through any distribution channel, whether now known or hereafter developed.</p>
<h3>4.3 Content Moderation</h3>
<p>Transperis reserves the right, but is not obligated, to monitor, review, edit, or remove any User Content at our sole discretion, for any reason, including but not limited to violations of these Terms, our Community Guidelines, or applicable law. We are not responsible for any User Content posted by users of the Service.</p>
<h2>5. Prohibited Conduct</h2>
<p>You agree not to engage in any of the following prohibited activities:</p>
<ul>
<li>Posting fake, fraudulent, or misleading reviews;</li>
<li>Creating multiple accounts to manipulate ratings or reviews;</li>
<li>Offering or accepting compensation in exchange for reviews;</li>
<li>Harassing, threatening, or intimidating other users or business owners;</li>
<li>Impersonating another person or entity;</li>
<li>Using automated scripts, bots, or scrapers to access the Service;</li>
<li>Attempting to gain unauthorized access to the Service, other accounts, or computer systems;</li>
<li>Transmitting viruses, malware, or any other harmful code;</li>
<li>Using the Service for any illegal or unauthorized purpose;</li>
<li>Interfering with or disrupting the Service or servers connected to the Service;</li>
<li>Collecting or harvesting personal information of other users without their consent;</li>
<li>Engaging in any activity that could damage, disable, or impair the functioning of the Service.</li>

<h2>6. Business Accounts</h2>
<p>Businesses that register on Transperis (“Business Users”) are subject to the following additional terms:</p>
<ul>
<li>You must be authorized to represent the business you are registering;</li>
<li>All business information provided must be accurate and up to date;</li>
<li>You may not post reviews of your own business or solicit fake reviews;</li>
<li>You may respond to customer reviews in a professional and constructive manner;</li>
<li>Transperis offers both free and paid subscription plans for businesses. Details of pricing, features, and billing terms are available on our pricing page;</li>
<li>Paid subscriptions will automatically renew unless cancelled before the renewal date.</li>
</ul>
<h2>7. Intellectual Property</h2>
<p>The Service and its original content (excluding User Content), features, and functionality are and shall remain the exclusive property of Transperis and its licensors. The Service is protected by copyright, trademark, trade dress, patent, trade secret, and other intellectual property and unfair competition laws of the United States and international jurisdictions.</p>
<p>The Transperis name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Transperis or its affiliates. You may not use such marks without the prior written permission of Transperis. All other names, logos, product and service names, designs, and slogans on this Service are the trademarks of their respective owners.</p>
<h2>8. Privacy</h2>
<p>Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand our practices regarding the collection, use, and disclosure of your personal information.</p>

<p>THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. TRANSPERIS DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED.</p>
<p>TRANSPERIS DOES NOT WARRANT OR GUARANTEE THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY REVIEWS, RATINGS, OR OTHER USER CONTENT POSTED ON THE SERVICE. ANY RELIANCE ON SUCH CONTENT IS STRICTLY AT YOUR OWN RISK. TRANSPERIS IS NOT RESPONSIBLE FOR ANY DECISIONS MADE BASED ON INFORMATION FOUND ON THE SERVICE.</p>
<h2>11. Limitation of Liability</h2>
<p>TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TRANSPERIS, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, PARTNERS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:</p>

<li>YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE;</li>

<p>IN NO EVENT SHALL THE AGGREGATE LIABILITY OF TRANSPERIS EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS (USD $100.00) OR THE AMOUNT YOU PAID TRANSPERIS, IF ANY, IN THE PAST SIX MONTHS FOR THE SERVICES GIVING RISE TO THE CLAIM.</p>
<h2>12. Indemnification</h2>
<p>You agree to defend, indemnify, and hold harmless Transperis, its directors, officers, employees, agents, partners, suppliers, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney fees) arising from: (a) your use of and access to the Service; (b) your violation of any provision of these Terms; (c) your violation of any third-party right, including any intellectual property, privacy, or proprietary right; or (d) any claim that your User Content caused damage to a third party.</p>
<h2>13. Dispute Resolution and Arbitration</h2>
<p>Any dispute, controversy, or claim arising out of or relating to these Terms or the breach, termination, or invalidity thereof shall be settled by binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in the English language. The decision of the arbitrator shall be final and binding upon the parties and may be entered as a judgment in any court of competent jurisdiction.</p>
<p>You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration against Transperis.</p>

<p>These Terms shall be governed by and construed in accordance with the laws of the United States and the State in which Transperis operates, without regard to its conflict of law provisions. Any legal action or proceeding not subject to arbitration shall be brought exclusively in the federal or state courts located within the applicable jurisdiction.</p>
<h2>15. Termination</h2>
<p>We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the Service will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability.</p>
<h2>16. Severability</h2>
<p>If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable. If such modification is not possible, the relevant provision shall be deemed deleted. Any modification or deletion of a provision shall not affect the validity and enforceability of the remaining provisions of these Terms.</p>
