<p>These Business Terms of Service (“Business Terms”) govern your use of the Transperis platform as a registered business owner, authorized representative, or business account holder (“Business User,” “you,” or “your”). These Business Terms are supplemental to and incorporate by reference our general Terms of Service and Privacy Policy. By registering a business account on Transperis, you agree to be bound by these Business Terms in addition to all other applicable policies.</p>
<p>Transperis (“Company,” “we,” “us,” or “our”) reserves the right to modify these Business Terms at any time. Changes will be effective upon posting. Your continued use of the Service after any modifications constitutes acceptance of the revised Business Terms.</p>

<h2>2. Business Account Eligibility and Registration</h2>
<p>To create a business account on Transperis, you must meet the following requirements:</p>
<ul>
<li>You must be at least 18 years of age or the age of legal majority in your jurisdiction;</li>
<li>You must be an authorized representative of the business you are registering, with the legal authority to bind the business to these Business Terms;</li>
<li>The business must be a legitimate, legally operating entity in its jurisdiction;</li>
<li>All information provided during registration must be accurate, complete, and current;</li>
<li>You must maintain and promptly update your business information to ensure it remains accurate.</li>
</ul>
<p>Transperis reserves the right to verify the identity of Business Users and the legitimacy of registered businesses. We may request documentation to confirm your authority to represent the business, including but not limited to business licenses, articles of incorporation, or other official documentation.</p>

<h2>3. Business Profile and Listings</h2>
<h3>3.1 Profile Information</h3>
<p>As a Business User, you are responsible for ensuring that all information on your business profile is accurate, current, and not misleading. This includes but is not limited to:</p>
<ul>
<li>Business name, address, and contact information;</li>
<li>Business category and description;</li>
<li>Operating hours and service areas;</li>
<li>Images, logos, and other media;</li>
<li>Website URLs and social media links.</li>
</ul>
<p>Transperis reserves the right to edit or remove any business profile information that we determine, in our sole discretion, is inaccurate, misleading, or in violation of these Business Terms.</p>

<h3>3.2 Claimed vs. Unclaimed Listings</h3>
<p>Business listings may exist on Transperis based on publicly available information or user-submitted content before a business claims its profile. By claiming a business profile, you represent and warrant that you are authorized to manage the listing on behalf of that business. Transperis may require verification before granting claim access.</p>

<h2>4. Reviews and Ratings</h2>
<h3>4.1 Review Integrity</h3>
<p>Transperis is committed to maintaining the integrity and authenticity of reviews on our platform. As a Business User, you agree to the following:</p>
<ul>
<li>You shall not post, solicit, or incentivize fake or misleading reviews of your business;</li>
<li>You shall not offer compensation, discounts, free products, or other incentives in exchange for positive reviews;</li>
<li>You shall not post reviews of your own business, directly or through third parties;</li>
<li>You shall not attempt to suppress, remove, or manipulate legitimate customer reviews through threats, intimidation, or harassment;</li>
<li>You shall not create fake customer accounts to post reviews;</li>
<li>You shall not attempt to manipulate your business rating through any deceptive means.</li>
</ul>
<p>Violation of these review integrity standards may result in immediate suspension or termination of your business account, removal of your business listing, and potential legal action.</p>

<h3>4.2 Responding to Reviews</h3>
<p>Business Users may respond publicly to customer reviews. When responding to reviews, you agree to:</p>
<ul>
<li>Maintain a professional and respectful tone;</li>
<li>Not disclose private or confidential customer information;</li>
<li>Not use threatening, abusive, or defamatory language;</li>
<li>Not attempt to coerce or intimidate reviewers into modifying or removing their reviews;</li>
<li>Address legitimate concerns constructively and in good faith.</li>
</ul>

<h3>4.3 Reporting Reviews</h3>
<p>If you believe a review violates our community guidelines, contains false information, or was posted by someone who is not a genuine customer, you may report it through the platform. Our moderation team will review reported content and take appropriate action. Transperis makes the final determination on whether a review violates our policies, and we are not obligated to remove any review upon request.</p>

<h2>5. Subscription Plans and Payments</h2>
<h3>5.1 Free and Paid Plans</h3>
<p>Transperis offers both free and paid subscription plans for businesses. Free plans provide basic listing features, while paid plans offer enhanced visibility, analytics, and additional tools. Details of available plans, features, and pricing are available on our pricing page.</p>

<h3>5.2 Billing and Payment</h3>
<p>If you subscribe to a paid plan, you agree to the following:</p>
<ul>
<li>You authorize Transperis to charge the payment method you provide for the subscription fees at the intervals specified in your plan;</li>
<li>All fees are quoted and charged in U.S. dollars unless otherwise specified;</li>
<li>You are responsible for all applicable taxes associated with your subscription;</li>
<li>Payment information must be accurate and kept up to date;</li>
<li>Failed payments may result in suspension of premium features until payment is received.</li>
</ul>

<h3>5.3 Automatic Renewal</h3>
<p>Paid subscriptions automatically renew at the end of each billing cycle unless you cancel before the renewal date. You may cancel your subscription at any time through your business account dashboard. Cancellation will take effect at the end of the current billing period, and you will retain access to paid features until that date.</p>

<h3>5.4 Refund Policy</h3>
<p>Subscription fees are generally non-refundable. However, if you experience a billing error or technical issue that prevents you from using paid features, please contact our support team. We will evaluate refund requests on a case-by-case basis at our sole discretion.</p>

<h2>6. Business Verification</h2>
<p>Transperis may offer a verification program for businesses. Verified businesses receive a verification badge on their profile, indicating that we have confirmed the legitimacy of the business. To obtain verification, you may be required to:</p>
<ul>
<li>Submit official business documentation (e.g., business license, tax identification number, articles of incorporation);</li>
<li>Verify ownership of the business domain or website;</li>
<li>Confirm the business address through mail verification or other means;</li>
<li>Provide additional documentation as requested by our verification team.</li>
</ul>
<p>Verification status may be revoked at any time if we determine that the business no longer meets our verification criteria or has violated these Business Terms.</p>

<h2>7. Intellectual Property</h2>
<p>By uploading content to your business profile (including logos, images, descriptions, and other materials), you represent and warrant that you own or have the necessary rights and permissions to use such content. You grant Transperis a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and distribute your business content in connection with the operation of the Service.</p>
<p>You shall not use the Transperis name, logo, or trademarks in any manner that suggests endorsement, affiliation, or sponsorship without our prior written consent.</p>

<h2>8. Data and Analytics</h2>
<p>Depending on your subscription plan, you may have access to analytics data about your business profile, including page views, review statistics, and customer engagement metrics. This data is provided for informational purposes only and may not be used for purposes that violate applicable privacy laws. You agree not to attempt to identify individual users through analytics data unless such identification is part of publicly available review information.</p>

<h2>9. Prohibited Business Conduct</h2>
<p>In addition to the prohibited conduct outlined in our general Terms of Service, Business Users specifically agree not to:</p>
<ul>
<li>Misrepresent the nature, quality, or characteristics of your products or services;</li>
<li>Use the platform to engage in unfair competitive practices, including posting negative reviews of competitors;</li>
<li>Spam users with unsolicited promotional messages through the platform;</li>
<li>Use customer information obtained through the platform for purposes unrelated to addressing their reviews or inquiries;</li>
<li>Engage in any form of retaliation against customers who post negative reviews;</li>
<li>Violate any applicable consumer protection, advertising, or unfair business practice laws.</li>
</ul>

<h2>10. Limitation of Liability for Business Users</h2>
<p>TRANSPERIS PROVIDES THE PLATFORM ON AN “AS IS” AND “AS AVAILABLE” BASIS. WE DO NOT GUARANTEE THAT THE SERVICE WILL INCREASE YOUR REVENUE, CUSTOMER BASE, OR BUSINESS REPUTATION. WE MAKE NO WARRANTIES REGARDING THE NUMBER OF VIEWS, REVIEWS, OR INTERACTIONS YOUR BUSINESS PROFILE WILL RECEIVE.</p>
<p>TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRANSPERIS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE AS A BUSINESS USER, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF CUSTOMERS, DAMAGE TO BUSINESS REPUTATION, OR LOSS OF DATA.</p>

<h2>11. Indemnification</h2>
<p>As a Business User, you agree to indemnify, defend, and hold harmless Transperis, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney fees) arising from or related to: (a) your business listing and profile content; (b) your responses to customer reviews; (c) your violation of these Business Terms; (d) your violation of any applicable law or regulation; or (e) any dispute between you and a customer arising from the use of the platform.</p>

<h2>12. Suspension and Termination</h2>
<p>Transperis reserves the right to suspend or terminate your business account at any time, with or without notice, for any reason, including but not limited to:</p>
<ul>
<li>Violation of these Business Terms or our general Terms of Service;</li>
<li>Engaging in review manipulation or fraudulent activity;</li>
<li>Providing false or misleading business information;</li>
<li>Receiving multiple verified complaints from customers;</li>
<li>Non-payment of subscription fees;</li>
<li>Any conduct that we determine is harmful to the platform, its users, or our reputation.</li>
</ul>
<p>Upon termination, your access to business account features will cease immediately. Reviews associated with your business will remain on the platform. Any prepaid subscription fees for unused periods are non-refundable upon termination for cause.</p>

<h2>13. Governing Law and Dispute Resolution</h2>
<p>These Business Terms shall be governed by and construed in accordance with the laws of the United States and the State in which Transperis operates. Any disputes arising under these Business Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, unless otherwise required by applicable law.</p>
